3. Submission Process
Fill SFP Application Form → receive KYC Upload Link (via email).

4. Data Use & Privacy
Stored securely under PDPA 2010.
Used only for:

Commission payouts
Grant applications
Never shared with third parties except:

Terms & Conditions for the Startup Factory Program (SFP)
Effective Date: November 3, 2025
These Terms & Conditions ("T&Cs") govern your participation in the Startup Factory Program ("SFP" or "Program") offered by KNW Technology Consulting ("KNW", "we", "us", or "our"), a division of KnW Capital Sdn Bhd, a company incorporated under the laws of Malaysia with its principal place of business at Kuala Lumpur, Malaysia. By applying to, enrolling in, or participating in the SFP, or by accepting any benefits hereunder, you ("Participant", "you", or "your") agree to be bound by these T&Cs. If you are participating on behalf of a company or other entity, you represent that you have the authority to bind such entity to these T&Cs.
These T&Cs incorporate by reference the SFP Agent Agreement (where applicable for affiliates), the SFP Affiliate Promotion Guidelines, and any other program-specific documents provided during application or onboarding. In the event of a conflict, these T&Cs shall prevail unless explicitly stated otherwise.
KNW reserves the right to update these T&Cs at any time. Notice of material changes will be posted on our website or emailed to registered participants. Continued participation after such notice constitutes acceptance of the changes.
1. Program Overview and Eligibility
1.1 Description
The SFP is a multi-stage bootcamp and accelerator program designed to support startups, SMEs, micro-enterprises, and entrepreneurs in ideation, MVP development, scaling, and exit strategies. It includes:
Pre-Seed Bootcamp: Ideation and MVP building.
Startup Bootcamp: Operations refinement and market entry.
Accelerator Camp: Scaling, funding preparation, and Demo Day.
Incubator Camp: Long-term sustainability and exit support (e.g., acquisitions, IPOs).
The Program emphasizes digital transformation, smart factory automation, and ASEAN expansion, with remote participation options for digital nomads. Key features include mentorship, networking, investor matchmaking, and access to resources like the Founder Playbook.
1.2 Eligibility
To participate, you must:
Be at least 18 years of age or the age of majority in your jurisdiction.
Be a legal resident of Malaysia or an eligible ASEAN/Southeast Asian country (or hold a valid Malaysian Digital Nomad Pass for remote participation).
For startups: Have a registered business with Suruhanjaya Syarikat Malaysia (SSM) or equivalent; possess an MVP, beta product, or clear ideation stage; and target sectors such as agri-tech, healthcare, crafts, or digital innovation.
For affiliates/agents: Have a network suitable for promoting the Program; no prior employment with KNW or its affiliates; and a Malaysian bank account (or equivalent for international participants).
Not be a Restricted Person (e.g., current KNW employee, intern, or entity debarred under Malaysian law).
KNW reserves the right to reject applications at its sole discretion. False information may result in immediate termination.
2. Application and Enrollment Process
2.1 Application
Submit the online application form via https://knw-technology-consulting.b12sites.com/spf-agent-form (for affiliates) or the main SFP application page.
Required information includes: Personal/company details, business stage, sector, network size (for affiliates), and agreement to these T&Cs.
Early bird incentives (e.g., first 40 seats) are subject to availability and notification via email/WhatsApp.
2.2 Selection and Fees
Selection is competitive and based on potential impact, innovation, and alignment with SFP goals.
Program fees: [To be specified; e.g., RM5,000–RM20,000 per stage, with grants up to RM600,000 for eligible participants via partners]. Fees are non-refundable except as stated in Section 7.
Affiliates: No enrollment fee; commissions only.
2.3 Agreement
Upon acceptance, you must sign an enrollment agreement electronically, confirming compliance with these T&Cs.
3. Intellectual Property and Confidentiality
3.1 Ownership
KNW retains all rights, title, and interest in Program materials, including the Founder Playbook, Bronze Affiliate Playbook, trademarks (e.g., "SFP Founder", "SFP Affiliate"), and any developed IP.
Participants grant KNW a perpetual, royalty-free license to use their business ideas, feedback, and success stories for promotional purposes (anonymized if requested).
3.2 Usage Rights
Participants may use provided materials solely for Program participation and promotion (affiliates only via approved links).
No reverse engineering, modification, or commercial exploitation without written consent.
3.3 Confidentiality
All non-public information shared during the Program (e.g., mentor advice, investor pitches) is confidential.
Participants agree not to disclose such information for 5 years post-Program, except as required by law.
4. Affiliate Program Specifics
4.1 Promotion Guidelines
Affiliates receive a unique referral link for tracking enrollments.
Allowed: Authentic promotion of SFP benefits via social media, emails, or events; use of provided materials with proper attribution.
Prohibited: Spam, false claims (e.g., guaranteed earnings), hate speech, malware, or violation of Malaysian Code of Advertising Practice (MCAP). Affiliates must comply with anti-corruption laws (e.g., Malaysian Anti-Corruption Commission Act 2009).
4.2 Compensation
Commissions: Tiered structure (e.g., 10–20% of enrollment fees for Bronze level; exact rates provided upon onboarding). Paid monthly via bank transfer once threshold (e.g., RM400) is met.
Perks: Network access, borderless income for digital nomads.
No commissions on self-referrals or invalid leads.
4.3 Termination for Affiliates
Affiliates may terminate with 30 days' notice; outstanding commissions paid within 60 days.
5. Obligations and Conduct
5.1 Participant Duties
Actively participate in sessions, workshops, and assignments.
Provide accurate updates on business progress.
Comply with all applicable laws, including data protection (Personal Data Protection Act 2010).
5.2 Prohibited Activities
Misrepresentation of SFP outcomes.
Harassment, discrimination, or unethical behavior.
Use of Program for illegal purposes.
5.3 Remote Participation
Digital nomads must maintain valid visas/passes; KNW is not liable for immigration issues.
6. Funding, Grants, and Equity
6.1 Opportunities
Access to grants (up to RM600,000 via partners like Cradle, subject to eligibility and terms).
Investor introductions and Demo Day pitches; no guaranteed funding.
Equity: KNW may take up to 5–10% equity in exchange for investments (negotiated separately).
6.2 Disclaimers
Funding is at the discretion of third parties; KNW acts as facilitator only.
7. Fees, Payments, and Refunds
7.1 Payment Terms
Fees due upon enrollment; accepted via bank transfer or approved methods.
Late payments incur 1.5% monthly interest.
7.2 Refunds
Full refund within 14 days of enrollment if withdrawal notice is given.
Partial refunds (50%) for early-stage withdrawals up to 30 days into the Program.
No refunds for completed stages or affiliate commissions.
8. Termination
8.1 By Participant
Withdraw with 30 days' notice; liable for fees up to termination date.
8.2 By KNW
Immediate termination for breach (e.g., non-payment, misconduct).
For cause: No further obligations; prepaid fees forfeited.
Without cause: 30 days' notice; pro-rated refunds issued.
9. Liability and Indemnification
9.1 Limitation of Liability
KNW's liability is limited to the fees paid by you.
No liability for indirect damages (e.g., lost profits, business interruption).
The Program is provided "as is"; no warranties of success.
9.2 Indemnification
You agree to indemnify KNW against claims arising from your breach, misuse of materials, or third-party disputes.
10. Dispute Resolution and Governing Law
10.1 Governing Law
These T&Cs are governed by the laws of Malaysia, without regard to conflict of laws principles.
10.2 Dispute Resolution
Disputes shall be resolved amicably within 30 days.
Unresolved disputes: Referred to arbitration under the Asian International Arbitration Centre (AIAC) Rules in Kuala Lumpur.
Prevailing party entitled to costs and fees.
11. Miscellaneous
11.1 Force Majeure
Neither party liable for delays due to events beyond control (e.g., pandemics, natural disasters).
11.2 Severability
Invalid provisions do not affect the remainder.
11.3 Waiver
No waiver unless in writing.
11.4 Assignment
You may not assign without KNW's consent; KNW may assign freely.
11.5 Entire Agreement
These T&Cs constitute the full agreement, superseding prior understandings.
