Standard Terms & Conditions for OSD (Other Services Deliverables) Services

(Valid from 1 December 2025 – Version 2025.12)

1. Scope of Services

1.1 KNW provides 100% modular, fixed-price Other Services Deliverables (OSDs) as listed in the signed Quotation / Statement of Work (SOW).

1.2 Each OSD is a standalone, measurable deliverable (document, code, dashboard, training, etc.) with clear acceptance criteria.

1.3 Services are delivered under one of the 4 Services and 3+1 Tiers (Tier 0, 1, 2, 3) as specified.

2. Pricing & Payment Terms

(MYR, excluding 8% SST unless stated)

3. Project Timeline & Delays

3.1 Timeline stated in the Quotation/SOW is in calendar days and starts only after:

– Signed SOW + Purchase Order received

– 50% deposit cleared

– Client provides all required inputs (access, data, approvals)

3.2 Client-caused delays > 7 calendar days will automatically extend the timeline day-for-day.

3.3 KNW-caused delays > 5 working days will grant Client a 2% credit per week (max 10% of OSD value).

4. Client Obligations

4.1 Provide timely access to systems, data, staff within 3 working days of request.

4.2 Appoint a single point of contact with decision-making authority.

4.3 Review and give written acceptance or documented feedback within **5 working days** of draft delivery. Failure to respond = deemed accepted.

5. Acceptance Process

5.1 Each OSD has predefined **Acceptance Criteria** listed in the SOW.

5.2 Client has **one round of reasonable revisions** included. Additional rounds = RM1,800 per round.

5.3 Final acceptance must be signed (DocuSign or email approval) within 7 days of final delivery.

6. Intellectual Property

6.1 All deliverables (documents, code, designs, scripts) become Client property upon full payment.

6.2 KNW retains the right to reuse generic frameworks, libraries, and methodologies.

6.3 For Tier 0–2, source code is provided. Tier 3 includes full source code + 12-month warranty.

7. Confidentiality & Data Protection

7.1 Both parties agree to NDAs and comply with PDPA 2010 & GDPR (if applicable).

7.2 Client data used for e-Invoice / MyInvois integration is processed only for delivery and deleted 90 days after project closure unless retained for support.

8. Warranty

8.1 90-day warranty from acceptance date for defects in deliverables.

8.2 Does **not** cover changes in LHDN/MyInvois rules after acceptance — these are treated as Change Requests (RM3,800 per update).

9. Limitation of Liability

9.1 KNW’s total liability shall not exceed the total fees paid for the affected OSD.

9.2 KNW is not liable for LHDN penalties arising from Client’s late submission or incorrect data.

11. Governing Law & Dispute Resolution

11.1 Governed by the laws of Malaysia.

11.2 Disputes first via mediation in Kuala Lumpur, then arbitration under AIAC rules.

12. Special Conditions for Micro Enterprises & Startups (Tier 0)

– 30-day money-back guarantee if you remain exempt and do not use the tool.

– Payment via 3 interest-free instalments possible with signed agreement.

– Equity swap option (1–3%) available for pre-seed/seed startups (case-by-case).

**Payment Terms (Micro/Startup Friendly)**

- 50% upon signing this page (or 100% for Tier 0 ≤ RM8,000)

- 40% upon draft delivery

- 10% upon final acceptance & sign-off

**Start Date** = the day we receive:

1. This page signed + deposit paid

2. All required access/data from you

**Delivery timeline starts only after the above.

**Acceptance**

You have 5 working days to review each deliverable.

No feedback = automatically accepted.

**Intellectual Property**

Everything we deliver becomes 100% yours immediately after final 10% payment.

**Warranty**

90 days free fix for any defects.

Future LHDN rule changes = small Change Request (from RM1,800).

**Cancellation / Refund (Startup Protection)**

- Tier 0 packages: 30-day money-back if you are still exempt and do not use it.

- Any other cancellation: you only pay for completed OSDs + 10% kill fee.
