The SFP Affiliate model is based on a tiered system where each state has a designated leader for each generation (Baby Boomer, Gen X, Gen Y, Gen Z). These leaders are incentivized based on the number of fully paid clients they bring into the program.

This SFP Affiliate Agreement (the "Agreement") is entered into as of the date of acceptance by the Affiliate (the "Effective Date"), by and between KNW Technology Consulting (the "Company"), a limited liability company with its principal place of business at [insert address], and the individual or entity applying to participate in the SFP Affiliate Promotion Program (the "Affiliate").
WHEREAS, the Company operates the KnW Startup Factory Program (the "SFP Program"), a comprehensive 6-month bootcamp and accelerator program providing mentorship, funding connections, operational support, AI-driven tools, expert coaching, and a global network to accelerate startup success in industries such as tech, e-commerce, healthtech, and sustainability;
WHEREAS, the Company offers the SFP Affiliate Promotion Program (the "Affiliate Program"), enabling eligible individuals and entities to promote the SFP Program and earn commissions on successful referrals;
WHEREAS, the Affiliate desires to participate in the Affiliate Program as a promoter of the SFP Program;
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:
1.1 Enrollment. The Affiliate shall enroll in the Affiliate Program by completing the online registration form at https://knw-technology-consulting.b12sites.com/spf-agent-form(the "Registration Form"), agreeing to this Agreement, and completing any required onboarding training and readiness checks. Upon approval by the Company, the Affiliate will receive login credentials for the Affiliate Dashboard (the "Dashboard").
1.2 Eligibility. Participation in the Affiliate Program is open to individuals and entities with an online presence, such as bloggers, influencers, entrepreneurs, marketers, businesses, agencies, or companies. No prior experience is required. The Affiliate represents and warrants that they are at least 18 years of age (or the age of majority in their jurisdiction), have the legal capacity to enter into this Agreement, and are not subject to any restrictions that would prevent participation.
1.3 No Cost to Join. Enrollment is free, with no upfront fees, minimum referral requirements, or hidden charges. The Affiliate will receive a Free Bronze Membership with a 14-day trial and a USD 50 e-Wallet Bonus upon joining.
1.4 Tiers. The Affiliate starts at the Bronze Tier and may advance to Silver, Gold, Platinum, or VVIP tiers based on referral volume (e.g., Tier 1 at 5 referrals), unlocking higher commissions and perks.
2.1 Promotion Activities. The Affiliate agrees to promote the SFP Program using the unique referral link provided in the Dashboard (the "Referral Link") and any Company-approved marketing materials, including banners, flyers, social media templates, email templates, and content ideas (collectively, "Marketing Materials"). Promotion may occur on platforms such as LinkedIn, Twitter, Instagram, blogs, or via paid ads, subject to platform policies and the Company's branding guidelines.
2.2 Engagement and Closing. The Affiliate shall engage potential leads by communicating program benefits, addressing questions, sharing testimonials and case studies, and assisting in enrollment. The Affiliate may collaborate with a dedicated affiliate manager for support in closing sales and ensuring payment completion.
2.3 Compliance. All promotions must comply with applicable laws, including data protection regulations (e.g., GDPR, CCPA), and the Company's Branding Guidelines (available in the Dashboard). The Affiliate shall not make false or misleading claims about the SFP Program, engage in spam, or use unauthorized channels. The cookie duration for tracking referrals is 90 days.
2.4 Tracking. The Affiliate shall use the Dashboard to track clicks, conversions, earnings, and performance metrics, including setting KPIs and OKRs. The Dashboard employs enterprise-grade encryption and two-factor authentication for security.
3.1 Commission Structure. For each successful referral (defined as a completed enrollment and payment for the SFP Program), the Affiliate shall earn:
3.2 Bonuses and Rewards. In addition to commissions, the Affiliate may earn tiered bonuses, lifestyle rewards (e.g., tech gadgets, Amazon Gift Cards, vacation packages, luxury vehicles like Tesla Model S Plaid), professional certifications, and recognitions (e.g., Top Performer of the Month, Annual Affiliate Star Award). High earners may qualify for exclusive events and cash rewards.
3.3 Payment Terms. Commissions are calculated monthly and paid via PayPal or bank transfer once the minimum threshold of USD 100 is reached. Payments are issued within 30 days of the end of each calendar month, provided the referral has not been refunded. The SFP Program accepts payments via credit cards, PayPal, or wire transfers, with a 30-day money-back guarantee.
3.4 Taxes. The Affiliate is responsible for all taxes arising from commissions and rewards. The Company will provide a Form 1099 or equivalent for payments exceeding applicable thresholds.
4.1 License Grant. Subject to this Agreement, the Company grants the Affiliate a limited, non-exclusive, non-transferable, revocable license to use the Marketing Materials solely for promoting the SFP Program during the Term. The Affiliate may highlight the SFP Program's IP protection and contract resources in promotions.
4.2 Ownership. All right, title, and interest in the SFP Program, Marketing Materials, Dashboard, and any related intellectual property remain with the Company. The Affiliate shall not modify, reverse-engineer, or create derivative works from any Company materials.
4.3 Confidentiality. The Affiliate agrees to maintain the confidentiality of any non-public information disclosed by the Company, including lead data, commission structures, and Dashboard analytics, and to use such information only for Affiliate Program purposes.
5.1 By Affiliate. The Affiliate represents and warrants that: (a) all promotions will be truthful and non-deceptive; (b) they have obtained necessary consents for data collection and sharing; (c) they will comply with anti-spam laws (e.g., CAN-SPAM Act); and (d) their participation does not violate any third-party agreements.
5.2 By Company. The Company represents and warrants that the SFP Program and Marketing Materials do not infringe third-party rights and will provide the Dashboard and support as described.
5.3 Disclaimers. EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE COMPANY PROVIDES THE AFFILIATE PROGRAM "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE COMPANY DOES NOT GUARANTEE ANY SPECIFIC EARNINGS OR CONVERSION RATES (E.G., TOP AFFILIATES REPORT 10-20% RATES; INDIVIDUAL RESULTS MAY VARY).
6.1 Term. This Agreement commences on the Effective Date and continues indefinitely until terminated by either party (the "Term").
6.2 Termination. Either party may terminate this Agreement: (a) for material breach, with 10 days' written notice to cure; or (b) immediately for convenience. The Affiliate may pause their account at any time, preserving accrued earnings for reactivation. Upon termination, the Affiliate must cease all promotions, destroy Marketing Materials, and return or destroy confidential information.
6.3 Post-Termination. The Company shall pay any accrued but unpaid commissions within 30 days of termination. Recurring commissions shall continue for the specified period on pre-termination referrals.
The Affiliate agrees to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from any claims, losses, or damages arising from the Affiliate's breach of this Agreement, negligent acts, or violations of law in connection with promotions.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING FROM THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY THEREOF. THE COMPANY'S TOTAL LIABILITY SHALL NOT EXCEED THE COMMISSIONS PAID TO THE AFFILIATE IN THE 12 MONTHS PRECEDING THE CLAIM.
9.1 Governing Law.
(a) If the Affiliate is domiciled or has its principal place of business in Malaysia or any other ASEAN member state,this Agreement shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of laws principles.
(b) If the Affiliate is domiciled or has its principal place of business outside Malaysia and outside any ASEAN member state, this Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles.
9.2 Dispute Resolution.
(a) Malaysia / ASEAN Affiliates
Any dispute, controversy, or claim arising out of or in connection with this Agreement
, including its existence, validity, breach, or termination, shall be referred to and finally resolved by arbitration administered by the Asian International Arbitration Centre (AIAC) in Kuala Lumpur under the AIAC Arbitration Rules in force at the time of commencement of the arbitration.
(b) International Affiliates (non-ASEAN)
Any dispute, controversy, or claim arising out of or in connection with this Agreement, including its existence, validity, breach, or termination, shall be referred to and finally resolved by arbitration administered by the London Court of International Arbitration (LCIA) under the LCIA Arbitration Rules in force at the time of commencement of the arbitration.
(c) Small Claims & Injunctive Relief
Notwithstanding the above, either party may seek interim or conservatory measures (including injunctive relief) from any court of competent jurisdiction.
(d) Informal Resolution First
Before commencing arbitration, the parties agree to attempt in good faith to resolve any dispute through direct negotiation for a period of at least thirty (30) days.
